1. Introduction

Welcome to All Things Universal LLC (“ATU,” “Company,” “we,” “our,” or “us”).

All Things Universal LLC is a Delaware limited liability company operating an online marketplace and business directory platform.

These Terms of Use govern your access to and use of the All Things Universal website, marketplace platform, mobile applications, vendor pages, listings, content, tools, and related services, collectively referred to as the “Platform.”

By accessing or using the Platform, creating an account, browsing listings, contacting vendors, purchasing a vendor subscription, or otherwise using ATU’s services, you agree to be legally bound by these Terms of Use and any other policies referenced in these Terms.

If you do not agree to these Terms, you should not access or use the Platform.

These Terms should be read together with ATU’s Privacy Policy, Cookie Policy, Vendor Terms of Service, Refund and Subscription Policy, DMCA Policy, Accessibility Statement, and any other policies published on the Platform.

2. Platform Description

ATU operates an online marketplace and business directory platform that allows independent vendors, merchants, professionals, service providers, and businesses to advertise, market, list, promote, and sell products or services directly to customers.

ATU provides a digital venue only. Unless expressly stated in writing, ATU is not the seller, manufacturer, distributor, importer, exporter, supplier, service provider, employer, agent, representative, broker, or owner of any product or service listed by vendors on the Platform.

Vendors are independent businesses and are solely responsible for their own products, services, advertisements, representations, pricing, transactions, customer communications, fulfillment, delivery, refunds, warranties, licensing, taxes, and legal compliance.

ATU does not guarantee the quality, safety, legality, availability, accuracy, or performance of any vendor, product, service, listing, advertisement, or customer transaction.

3. Eligibility

To use the Platform, you must:

  • Be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher.
  • Have the legal capacity to enter into binding contracts.
  • Provide accurate, current, and truthful information.
  • Use the Platform only for lawful purposes.
  • Comply with all applicable laws, regulations, and ATU policies.

ATU may refuse access, suspend accounts, terminate accounts, or restrict use of the Platform if we believe a user has provided false information, violated these Terms, or created legal, regulatory, security, or reputational risk for ATU or other users.

4. Account Registration and Security

Users may be required to create an account to access certain Platform features.

You agree to:

  • Provide accurate and complete account information.
  • Keep your account information updated.
  • Protect your username, password, and login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify ATU promptly if you believe your account has been compromised.

ATU is not responsible for losses arising from unauthorized account access caused by your failure to safeguard your login credentials.

5. Acceptable Use

You agree not to use the Platform to:

  • Engage in unlawful, fraudulent, deceptive, abusive, or harmful activity.
  • Sell, advertise, promote, or distribute prohibited or restricted products or services.
  • Upload malware, viruses, malicious code, or harmful technologies.
  • Violate intellectual property, privacy, publicity, or contractual rights.
  • Misrepresent your identity, business, qualifications, licenses, products, or services.
  • Interfere with the operation, security, or performance of the Platform.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Engage in money laundering, terrorism financing, sanctions evasion, bribery, corruption, or other unlawful financial activity.
  • Publish false, misleading, offensive, defamatory, discriminatory, exploitative, or harmful content.
  • Manipulate reviews, ratings, search results, sponsored placements, or Platform features.

ATU reserves the right to remove content, suspend accounts, restrict listings, or terminate access where necessary to protect users, vendors, ATU, or the Platform.

6. Prohibited and Restricted Products and Services

The following products, services, activities, and categories are prohibited or restricted on the Platform unless expressly approved by ATU in writing and permitted by applicable law:

  • Illegal drugs, controlled substances, or drug paraphernalia.
  • Counterfeit goods or unauthorized replicas.
  • Weapons, ammunition, explosives, or regulated self-defense items.
  • Stolen property or products obtained unlawfully.
  • Human trafficking, exploitation, escort services, or illegal adult services.
  • Child exploitation materials or any content involving minors in a harmful, sexual, or exploitative manner.
  • Unlicensed financial, investment, lending, insurance, legal, medical, or professional services.
  • Illegal gambling, betting, lotteries, or games of chance.
  • Pyramid schemes, Ponzi schemes, deceptive business opportunities, or fraudulent investment programs.
  • Sanctioned products, sanctioned services, or dealings with restricted parties or countries.
  • Prescription drugs, regulated medical devices, or medical products requiring authorization.
  • Hazardous chemicals, toxic substances, recalled goods, or unsafe products.
  • Fake documents, false identification, forged certificates, or credential manipulation.
  • Products or services that violate import, export, customs, consumer protection, advertising, tax, or licensing laws.

ATU may add, remove, restrict, or modify prohibited categories at any time. Vendors are responsible for ensuring their listings comply with all applicable laws and Platform rules.

7. Vendor Responsibility

Each vendor is solely responsible for:

  • Product quality and safety.
  • Service quality and performance.
  • Product and service descriptions.
  • Pricing, availability, delivery, and fulfillment.
  • Customer service and customer disputes.
  • Refunds, returns, warranties, and guarantees.
  • Business registration and legal authority to operate.
  • Tax obligations, including income tax, sales tax, VAT, GST, customs duties, and related filings.
  • Required professional, trade, regulatory, or business licenses.
  • Compliance with applicable laws in all jurisdictions where they operate, advertise, sell, or provide services.

ATU may request documentation from vendors, including business registration documents, identity verification, tax information, licensing records, proof of authority, or other compliance documents.

ATU’s review, approval, or listing of a vendor does not guarantee that the vendor is licensed, qualified, reputable, compliant, or suitable for any particular transaction.

8. Vendor-Customer Transactions and Disputes

Transactions, communications, agreements, purchases, deliveries, service arrangements, refunds, warranties, and disputes between customers and vendors are strictly between the applicable customer and vendor unless ATU expressly states otherwise in writing.

ATU is not responsible for:

  • Vendor delays, cancellations, failures, or misrepresentations.
  • Product defects, safety issues, or warranty claims.
  • Service quality, professional advice, or service outcomes.
  • Customer dissatisfaction with vendor products or services.
  • Payment disputes between vendors and customers.
  • Refunds, chargebacks, shipping issues, or delivery failures related to vendor-customer transactions.

Users should exercise their own judgment before engaging with any vendor on or through the Platform.

9. No Endorsement

The presence of a vendor, product, service, advertisement, listing, review, rating, badge, sponsored placement, or promotional feature on the Platform does not mean ATU endorses, guarantees, certifies, or recommends that vendor, product, service, or claim.

ATU may offer paid promotional opportunities, sponsored listings, or advertising placements. Paid or sponsored placements will be identified where required by applicable law.

10. Reviews, Ratings, and User Content

The Platform may allow users to post reviews, ratings, comments, images, messages, listings, advertisements, business descriptions, or other content, collectively referred to as “User Content.”

You are solely responsible for any User Content you submit.

You agree that your User Content will not:

  • Be false, misleading, fraudulent, or deceptive.
  • Violate another person’s intellectual property, privacy, or legal rights.
  • Contain unlawful, defamatory, hateful, discriminatory, obscene, abusive, or harmful material.
  • Contain spam, malware, or unauthorized advertising.
  • Manipulate reviews, ratings, or customer feedback.

By submitting User Content, you grant ATU a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, display, store, reproduce, modify, publish, translate, distribute, and promote that content in connection with the Platform and ATU’s business.

You represent that you have all rights necessary to grant this license.

ATU may remove, edit, restrict, or refuse User Content at its discretion.

11. Intellectual Property

All Platform content and materials owned or controlled by ATU, including logos, trademarks, service marks, designs, software, code, databases, text, graphics, layouts, branding, images, video content, and Platform features, are the property of ATU or its licensors.

No rights are granted to users except as expressly stated in these Terms.

Users may not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, or exploit any part of the Platform without ATU’s prior written consent.

Vendors and users must not upload or use content that infringes the intellectual property rights of others.

Copyright complaints may be submitted through ATU’s DMCA Policy.

ATU may remove allegedly infringing content and may suspend or terminate repeat infringers in accordance with ATU’s DMCA and Intellectual Property Policy.

12. Privacy, Cookies, and Communications

ATU’s collection, use, storage, and disclosure of personal information is governed by ATU’s Privacy Policy.

Use of cookies, pixels, analytics tools, and similar tracking technologies is governed by ATU’s Cookie Policy.

By using the Platform, you consent to receive electronic communications from ATU, including account notices, service notices, legal notices, vendor communications, transaction-related notices, marketing communications, and Platform updates, subject to your communication preferences and applicable law.

13. FTC, Advertising, and Sponsored Placement Disclosures

ATU may display sponsored listings, paid placements, promoted vendor pages, advertisements, featured vendor sections, affiliate links, discounts, reviews, ratings, or other promotional content.

Where required by law, sponsored, paid, or promotional content will be identified using clear disclosure language.

Vendors, advertisers, influencers, affiliates, and users are responsible for ensuring their claims, promotions, reviews, endorsements, and advertisements comply with applicable advertising, consumer protection, and disclosure laws.

ATU may remove or restrict promotional content that it believes is misleading, unlawful, inadequately disclosed, or inconsistent with Platform rules.

14. Payment Processing and Currency

ATU may use third-party payment processors to collect vendor subscription fees, advertising fees, promotional fees, or other fees owed directly to ATU.

Third-party payment processors may have their own terms, conditions, fees, verification requirements, currency conversion rules, and privacy practices.

ATU is not responsible for third-party payment processor delays, errors, outages, banking issues, currency fluctuations, declined transactions, account holds, or processor decisions.

Unless expressly stated otherwise, vendor-customer payments, product payments, service payments, refunds, deposits, delivery payments, or other transaction payments between vendors and customers are the responsibility of the applicable vendor and customer.

ATU is not a bank, payment processor, money transmitter, escrow provider, financial institution, or fiduciary unless expressly stated in writing.

15. Vendor Subscriptions, Refunds, and Renewals

Vendor subscription fees, advertising fees, promotional fees, renewals, cancellations, and refund rights are governed by ATU’s Refund and Subscription Policy and any applicable Vendor Terms of Service.

Vendors are responsible for reviewing all subscription terms before purchasing a vendor plan or paid placement.

ATU may change subscription plans, fees, features, promotional options, and renewal terms as permitted by applicable law and Platform policies.

16. Professional Services and Licensing

Vendors offering professional, regulated, licensed, or specialized services are solely responsible for maintaining all required licenses, permits, registrations, certifications, insurance, and professional approvals.

This may include, but is not limited to, legal, medical, financial, accounting, insurance, real estate, construction, engineering, health, wellness, transportation, childcare, beauty, trade, and similar regulated services.

ATU may request proof of licensing, registration, insurance, or authorization before allowing a vendor to list certain services.

ATU may deny, suspend, remove, or restrict listings where licensing or regulatory requirements are not satisfied.

ATU does not provide legal, medical, financial, tax, insurance, or professional advice and does not guarantee the qualifications, advice, or service outcomes of any vendor.

17. International Use, Translations, and Compliance

The Platform may be accessed from multiple countries and may be made available in more than one language.

Users and vendors are responsible for complying with all laws applicable to their location, business, products, services, advertising, data, taxes, and transactions.

Where ATU provides translated versions of these Terms or other policies, the English version will control unless otherwise required by applicable law or expressly stated by ATU.

Users may not use the Platform in any jurisdiction where such use would violate applicable law, sanctions rules, trade restrictions, export controls, or regulatory requirements.

You agree to indemnify, defend, and hold harmless ATU, its officers, directors, employees, contractors, affiliates, agents, service providers, and licensors from and against any claims, damages, losses, liabilities, costs, expenses, penalties, fines, and legal fees arising from or related to:

  • Your use of the Platform.
  • Your breach of these Terms or any ATU policy.
  • Your products, services, listings, advertisements, or User Content.
  • Your transactions or communications with vendors, customers, or third parties.
  • Your violation of any law, regulation, license requirement, tax obligation, or third-party right.
  • Your fraud, negligence, misconduct, or misrepresentation.
  • Any intellectual property, privacy, consumer protection, advertising, tax, product liability, professional licensing, or regulatory claim related to your conduct.

21. Force Majeure

ATU shall not be liable for delays, interruptions, failures, or non-performance caused by circumstances beyond its reasonable control, including:

  • Natural disasters.
  • Acts of God.
  • Cyberattacks.
  • Internet, telecommunications, hosting, utility, or cloud service failures.
  • Government actions.
  • War, terrorism, civil unrest, or sanctions events.
  • Pandemics, epidemics, or public health emergencies.
  • Labor disputes.
  • Payment processor failures.
  • Supply chain disruptions.
  • Platform maintenance or emergency security actions.

22. Suspension and Termination

ATU may suspend, restrict, or terminate any account, listing, vendor page, subscription, promotional placement, or access to the Platform at any time where ATU believes there has been:

  • A violation of these Terms.
  • A violation of any ATU policy.
  • False, misleading, or incomplete information.
  • Fraud, abuse, security risk, or unlawful conduct.
  • Regulatory, sanctions, payment, tax, reputational, or legal risk.
  • Failure to provide requested verification or compliance documentation.

Termination does not relieve any user or vendor of obligations incurred before termination, including payment obligations, tax obligations, indemnification obligations, dispute obligations, or compliance responsibilities.

23. Third-Party Websites and Services

The Platform may contain links, integrations, advertisements, tools, payment processors, vendor websites, social media features, or third-party services.

ATU does not control and is not responsible for third-party websites, platforms, services, policies, content, products, or practices.

Users access third-party websites and services at their own risk.

24. Changes to These Terms

ATU may update or modify these Terms from time to time.

When changes are made, ATU may update the “Last Updated” date, post the revised Terms on the Platform, and take any additional steps required by applicable law.

Continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.

25. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where applicable consumer protection laws require otherwise.

26. Dispute Resolution

Before filing any formal claim, the parties agree to first attempt to resolve disputes informally by contacting ATU.

If a dispute cannot be resolved informally, the dispute shall be resolved through binding arbitration in Delaware, unless otherwise required by applicable law.

The arbitration process, rules, forum, fees, and exceptions should be reviewed and finalized by legal counsel before publication.

27. Class Action Waiver

To the maximum extent permitted by law, users agree that disputes with ATU must be brought individually and not as part of a class action, collective action, representative action, private attorney general action, or consolidated proceeding.

28. Consumer Rights

Nothing in these Terms is intended to limit rights that cannot legally be limited under applicable consumer protection, privacy, ecommerce, subscription, or marketplace laws.

29. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

30. Entire Agreement

These Terms, together with ATU’s Privacy Policy, Cookie Policy, Vendor Terms of Service, Refund and Subscription Policy, DMCA and Intellectual Property Policy, Prohibited and Restricted Products and Services Policy, and any other policies or terms incorporated by reference, constitute the entire agreement between you and ATU regarding your access to and use of the Platform.
