Refund & Subscription Policy
1. Purpose
This Refund & Subscription Policy (“Policy”) explains how All Things Universal LLC (“ATU,” “Company,” “we,” “our,” or “us”) handles subscription plans, billing, automatic renewals, cancellations, refunds, payment disputes, failed payments, chargebacks, promotional offers, and customer-vendor refund responsibility.
This Policy applies to paid services offered by ATU through the All Things Universal website, marketplace platform, vendor dashboard, vendor pages, mobile applications, advertising tools, promotional placements, and related services, collectively referred to as the “Platform.” At ATU (“we”, “us” or “our”), customer-vendor satisfaction is our priority. This refund and subscription Policy outlines the terms and conditions regarding returns, refunds, cancellations and recurring billing for purchases made on the Platform.
By purchasing a subscription, vendor plan, advertising package, promoted placement, or any other paid service offered by ATU, you agree to this Policy.
This Policy should be read together with ATU’s Terms of Use, Vendor Terms of Service, Privacy Policy, Cookie Policy, DMCA and Intellectual Property Policy, and any other applicable ATU policies.
2. ATU’s Role
ATU operates an online marketplace and business directory platform that allows independent vendors to advertise, market, list, promote, and sell products or services directly to customers.
Unless expressly stated otherwise in writing, ATU is not the seller, manufacturer, distributor, service provider, fulfilment provider, payment custodian, escrow provider, or refund provider for products or services offered by vendors.
This Policy governs fees paid directly to ATU, including vendor subscription fees, advertising fees, promotional fees, listing fees, and other Platform-related fees.
Refunds for customer purchases from vendors are the responsibility of the applicable vendor, not ATU, unless ATU expressly states otherwise in writing.
3. Subscription Services
ATU may offer subscription-based plans or paid services that provide vendors with access to certain Platform features.
Depending on the selected plan, subscription services may include access to:
- Vendor storefronts or business pages.
- Product or service listing capabilities.
- Vendor dashboard tools.
- Marketplace visibility.
- Business profile tools.
- Inquiry or lead-generation features.
- Marketing tools.
- Advertising or promotional options.
- Platform support services.
- Business management features.
- Other features made available by ATU.
Subscription fees provide access to Platform tools and features only.
Subscription fees do not guarantee:
- Sales.
- Revenue.
- Profit.
- Leads.
- Customer traffic.
- Customer inquiries.
- Search ranking.
- Featured placement.
- Advertising performance.
- Vendor visibility.
- Business success.
Vendor acknowledges that marketplace success depends on many factors outside ATU’s control, including vendor pricing, offer quality, customer demand, advertising, product/service quality, location, competition, responsiveness, reviews, and market conditions.
4. Subscription Plans
ATU may offer subscription plans including, but not limited to:
Monthly Vendor Plan
Fee: USD $35.00 per month
Billing cycle: Monthly
Renewal: Automatically renews each month unless cancelled before renewal.
Annual Vendor Plan
Fee: USD $300.00 per year
Billing cycle: Annual
Renewal: Automatically renews each year unless cancelled before renewal.
4.1 Automatic Renewal Disclosure
By signing up for a subscription service, you acknowledge and agree that your subscription has an initial payment and recurring billing feature.
Your subscription will automatically renew at the specified interval at the current non-promotional rate until you explicitly cancel your subscription.
4.2 Free Trials & Promotional Rates
- If you sign up for a free trial or discounted introductory period, you will be billed the standard recurring price once the trial period expires, unless you cancel prior to the end of the trial period.
- You must cancel at least 48 hours before your trial period ends to avoid being charged.
4.3 Subscription Refund Policy
- Recurring subscription charges are non-refundable once processed.
- It is the customer's responsibility to cancel their subscription prior to the auto-renewal date. Forgetting to cancel a subscription before the renewal date does not qualify for a refund.
5. Clear Disclosure of Subscription Terms
Before a vendor purchases a subscription or paid service, ATU should make the material terms reasonably clear.
These may include:
- The plan selected.
- The subscription price.
- Billing frequency.
- Renewal terms.
- Whether the subscription renews automatically.
- Cancellation method.
- Refund terms.
- Trial or promotional terms, if applicable.
- Taxes or additional fees, if applicable.
- Features included in the plan.
- Any material limits or exclusions.
ATU may provide these terms on the checkout page, vendor registration page, pricing page, confirmation page, invoice, receipt, dashboard, email acknowledgment, or other retainable format.
6. Billing Authorization
By purchasing a subscription or paid service, Vendor authorizes ATU and its third-party payment processors to:
- Charge the selected payment method for applicable fees.
- Process recurring subscription payments.
- Process renewal payments.
- Collect applicable taxes, duties, fees, or charges.
- Retry failed payments.
- Process refunds or credits where approved.
- Recover unpaid balances.
- Use updated payment information provided by Vendor or by the payment processor where permitted by law.
Vendor is responsible for maintaining valid, current, and authorized payment information.
Vendor represents that it is authorized to use the payment method provided.
7. Automatic Renewal
Unless cancelled before the renewal date:
- Monthly subscriptions automatically renew every month.
- Annual subscriptions automatically renew every year.
- Renewal charges will be processed using the payment method on file.
- Access will continue for the renewed subscription period.
By subscribing, Vendor expressly agrees to the automatic renewal terms presented at checkout or at the time of purchase.
ATU should provide confirmation of the subscription terms in a format that Vendor can retain, such as email confirmation, dashboard confirmation, invoice, receipt, or billing notice.
8. Renewal Notices
ATU may send renewal notices by email, dashboard notice, account message, invoice, or other electronic communication.
Where required by applicable law, ATU will provide advance notice before certain renewals, including annual renewals, long-term subscriptions, free-trial conversions, promotional-price conversions, or material subscription changes.
Renewal notices may include:
- The upcoming renewal date.
- The renewal amount or price range.
- The billing frequency.
- The payment method to be charged.
- Instructions on how to cancel.
- Contact information for billing support.
Vendor is responsible for keeping its email address and billing contact information current.
9. Price, Feature, and Plan Changes
ATU may change subscription prices, plan features, package benefits, promotional placements, listing limits, advertising options, platform tools, or billing terms from time to time.
Where required by law or where changes are material, ATU will provide reasonable notice before the change takes effect.
If a subscription fee changes, ATU may provide notice before charging the new amount where required by applicable law.
Continued use of the Platform after the effective date of a change constitutes acceptance of the updated terms, unless applicable law requires additional consent.
If Vendor does not agree to the change, Vendor may cancel the subscription before the change or renewal takes effect.
10. Free Trials and Promotional Offers
ATU may offer free trials, discounted plans, introductory pricing, promotional credits, coupons, or limited-time offers.
Trial or promotional terms should be disclosed before the offer is accepted.
These terms may include:
- Length of the trial or promotion.
- Price during the promotional period.
- Price after the promotional period ends.
- Whether billing begins automatically after the trial.
- Renewal terms.
- Cancellation deadline.
- How to cancel before charges begin.
- Any restrictions or eligibility rules.
If a free trial or promotional offer converts into a paid subscription, Vendor is responsible for cancelling before the trial or promotional period ends if Vendor does not wish to be charged.
Where required by law, ATU will provide advance notice before a free trial or promotional offer converts into a paid subscription.
11. Promotional Credits
Promotional credits, coupons, discounts, or platform credits may be offered at ATU’s discretion.
Unless expressly stated otherwise:
- Promotional credits have no cash value.
- Promotional credits are non-transferable.
- Promotional credits may expire.
- Promotional credits may not be redeemed for cash.
- Promotional credits may be limited to specific plans, features, or periods.
- Promotional credits may be revoked if obtained through fraud, abuse, mistake, or misuse.
ATU may modify, suspend, or cancel promotional programs as permitted by law.
12. Subscription Cancellation
Vendor may cancel a subscription before the next renewal date using the cancellation methods made available by ATU.
Cancellation methods may include:
- Vendor dashboard cancellation.
- Billing portal cancellation.
- Written request to billing support.
- Email request.
- Other cancellation method provided by ATU.
12.1 How to Cancel a Subscription
You may cancel your subscription at any time. To cancel:
- Self-Service: Log into your account on the Platform, navigate to Account/Subscription Management and click “Cancel Subscriptions”.
- Customer Support: Email support@allthingsuniversal.com with the subject line “Cancel Subscription” and include your account details. Support cancellation request must be sent at least 3 business days prior to your next scheduled billing date.
12.2 Cancellation Cutoff & Impact
- Cancelling stops all future recurring charges.
- If you cancel midway through a billing cycle, you will retain access to your subscription services through the end of your current pre-paid billing period. No prorated refunds will be issued for unused portions of an active cycle.
Where a subscription is purchased online, ATU should provide an online cancellation method where required by applicable law.
Cancellation prevents future renewal charges. Cancellation does not automatically create a refund for the current paid period.
Vendor should cancel before the renewal date to avoid being charged for the next billing cycle.
13. Effect of Cancellation
Unless otherwise stated or required by law:
- Cancellation stops future renewals.
- Vendor access remains active until the end of the current paid subscription period.
- Paid fees for the current billing period are not automatically refunded.
- Vendor listings, storefronts, promotional placements, or dashboard access may expire or be disabled after the paid term ends.
- ATU may retain records as needed for billing, legal, accounting, fraud prevention, tax, dispute, compliance, and business purposes.
Vendor remains responsible for obligations incurred before cancellation, including unpaid fees, customer obligations, tax obligations, and compliance responsibilities.
14. Refund Policy for ATU Fees
Subscription fees, advertising fees, promotional placement fees, listing fees, and other fees paid to ATU are generally non-refundable after payment has been successfully processed, except where required by applicable law or expressly approved by ATU.
ATU may consider refunds under limited circumstances, including:
- Duplicate billing.
- Unauthorized transaction confirmed after review.
- Billing error caused by ATU.
- Incorrect amount charged by ATU.
- Technical failure that prevented initial activation of paid Platform services.
- Accidental duplicate subscription purchase.
- Legal or regulatory requirement.
- Other exceptional circumstance approved by ATU.
Refund requests should be submitted promptly after the charge.
ATU may request documentation before approving a refund.
Approval of one refund does not create a right to future refunds.
14.1 Refund Processing and Timelines
- Refund Method & Timeline: Approved funds are credited to your original method of payment within 10 business days, depending on your credit card issuer or bank processing times.
14.2 Late or Missing Refunds
If you haven’t received a refund within 10 business days:
- Check your bank or credit card account again.
- Contact your bank/credit card company; processing delays often occur before a transaction posts.

15. No Refunds for Business Performance
ATU does not provide refunds based on:
- Lack of sales.
- Lack of leads.
- Low customer traffic.
- Low visibility.
- Poor marketing results.
- Lack of customer inquiries.
- Vendor dissatisfaction with business performance.
- Vendor profitability.
- Customer complaints caused by Vendor’s products or services.
- Vendor failure to use the Platform.
- Vendor failure to complete its profile or listings.
- Vendor failure to respond to customers.
- Vendor failure to maintain required documents, licenses, or compliance.
Vendor acknowledges that ATU provides access to Platform tools and services, not guaranteed business outcomes.
16. Service Outages and Platform Interruptions
ATU works to maintain reliable Platform access, but outages, interruptions, maintenance, cyber incidents, third-party service failures, payment processor outages, hosting issues, internet failures, or technical problems may occur.
ATU may, at its discretion, consider reasonable remedies for material Platform failures caused by ATU, such as:
- Service credits.
- Subscription extensions.
- Partial refunds.
- Technical support.
- Other remedies determined by ATU.
ATU is not required to provide compensation for minor interruptions, scheduled maintenance, third-party outages, user-side issues, force majeure events, or interruptions outside ATU’s reasonable control unless required by applicable law.
17. Failed Payments
If payment cannot be processed, ATU may:
- Retry payment processing.
- Notify Vendor.
- Request updated payment information.
- Suspend subscription benefits.
- Remove or hide listings.
- Restrict dashboard access.
- Disable promotional placements.
- Cancel renewal.
- Terminate the vendor account.
- Refer unpaid balances for collection where permitted by law.
ATU is not responsible for losses, missed leads, lost visibility, listing removal, or business interruption resulting from failed payments, expired cards, insufficient funds, payment processor issues, or Vendor’s failure to maintain valid billing information.
18. Chargebacks and Payment Disputes
Vendor should contact ATU billing support before initiating a chargeback or payment dispute so ATU has an opportunity to review and resolve the issue.
If Vendor initiates a chargeback, payment reversal, or dispute, ATU may:
- Suspend the vendor account.
- Restrict Platform access.
- Remove or hide listings.
- Pause promotional placements.
- Investigate the transaction.
- Provide evidence to the payment processor.
- Recover unpaid balances.
- Recover administrative fees, processor fees, or collection costs where permitted by law.
- Terminate Vendor participation where appropriate.
Fraudulent, abusive, or bad-faith chargebacks may result in termination and legal action.
Nothing in this section limits any non-waivable rights Vendor may have under applicable law or payment network rules.
19. Customer Purchase Refunds
Unless expressly stated otherwise, ATU is not the seller of products or services listed by Vendors.
Refunds for customer purchases, product orders, service bookings, deposits, delivery fees, warranties, returns, cancellations, exchanges, or customer complaints remain the responsibility of the applicable Vendor.
ATU is not obligated to:
- Issue customer refunds for Vendor products or services.
- Resolve Vendor-customer disputes.
- Guarantee Vendor performance.
- Pay Vendor customer claims.
- Provide warranties for Vendor products or services.
- Handle returns or exchanges for Vendor sales.
Customers should contact the applicable Vendor directly regarding refunds, returns, warranties, service issues, product defects, delivery issues, or transaction disputes.
Vendors must comply with applicable refund, return, cancellation, warranty, consumer protection, and product/service laws that apply to their own business and customers.
20. Vendor Refund and Return Disclosures
Vendors are responsible for clearly disclosing their own refund, return, cancellation, warranty, delivery, booking, and service policies to customers where applicable.
Vendor policies must be truthful, lawful, and consistent with applicable consumer protection laws.
ATU may require Vendors to publish or provide refund/return terms before listing certain products or services.
ATU may remove or restrict Vendors whose refund, return, cancellation, or customer service practices create legal, regulatory, reputational, or Platform trust concerns.
21. Payment Processors
ATU may process payments through third-party payment processors, including but not limited to:
- Stripe.
- PayPal.
- Authorize.net.
- Other approved payment processors.
Payment processors may have their own terms, conditions, fees, verification requirements, chargeback procedures, fraud monitoring, reserves, holds, account restrictions, settlement timelines, refund tools, and privacy practices.
Vendor agrees to comply with applicable processor terms.
ATU is not responsible for processor outages, processor decisions, banking delays, account holds, payment declines, verification delays, currency conversion issues, or settlement timing.
22. Taxes
Fees paid to ATU may be subject to applicable taxes, including:
- Sales tax.
- VAT.
- GST.
- Digital services tax.
- Other transaction taxes or fees.
Where required, ATU may collect and remit taxes on fees paid to ATU.
Vendor remains solely responsible for taxes associated with Vendor’s own business activities, products, services, customer sales, customer transactions, imports, exports, income, VAT, GST, sales tax, duties, and regulatory fees.
ATU does not provide tax advice.
Vendor should consult a qualified tax advisor regarding its own tax obligations.
23. Fraud Prevention and Abuse
ATU may investigate suspicious activity, including:
- Payment fraud.
- Identity fraud.
- Account abuse.
- Refund abuse.
- Promotional credit abuse.
- Chargeback abuse.
- Use of stolen payment methods.
- Circumvention of subscription fees.
- Misuse of vendor accounts.
- False billing information.
- Attempts to avoid suspension or termination.
ATU may deny refunds, suspend accounts, terminate accounts, restrict listings, cancel subscriptions, or take legal action where fraud, abuse, or policy violations are suspected.
24. Account Suspension or Termination
Suspension or termination of a vendor account does not automatically entitle Vendor to a refund of subscription fees, advertising fees, promotional fees, or other fees already paid.
ATU may suspend or terminate vendor accounts for reasons including:
- Non-payment.
- Fraud.
- Chargeback abuse.
- Policy violations.
- Legal or regulatory risk.
- Sanctions concerns.
- Licensing issues.
- Customer complaints.
- Misuse of Platform tools.
- False or incomplete information.
- Breach of ATU’s Terms of Use, Vendor Terms, or other policies.
Outstanding fees remain due and payable after suspension or termination.
25. Regional and Mandatory Legal Rights
Nothing in this Policy is intended to limit rights that cannot legally be limited under applicable law.
Certain jurisdictions may provide additional cancellation, refund, subscription, auto-renewal, consumer protection, or payment dispute rights.
Where mandatory law provides greater rights than this Policy, ATU will comply with applicable mandatory requirements.
Legal counsel should confirm which jurisdiction-specific disclosures, cancellation notices, renewal notices, refund rights, and subscription controls are required based on ATU’s launch markets.
26. Records and Billing History
ATU may maintain records relating to:
- Subscription purchases.
- Renewals.
- Cancellations.
- Refunds.
- Failed payments.
- Chargebacks.
- Promotional credits.
- Taxes.
- Billing communications.
- Payment processor records.
- Compliance reviews.
- Account suspension or termination.
Records may be retained for business, accounting, legal, tax, fraud prevention, dispute resolution, compliance, and audit purposes.
27. Changes to This Policy
ATU may update or modify this Policy from time to time.
When changes are made, ATU may update the “Last Updated” date, post the revised Policy on the Platform, send notice by email, provide dashboard notice, or take any additional steps required by applicable law.
Where required by law, ATU will provide advance notice of material changes to subscription terms, pricing, billing, automatic renewal terms, cancellation methods, or refund rights.
Continued use of the Platform after changes become effective constitutes acceptance of the revised Policy, subject to any additional consent required by applicable law.

29. Governing Law
This Policy shall be governed by the laws of the State of Delaware, United States, except where mandatory consumer protection, subscription, refund, privacy, payment, or e-commerce laws require otherwise.
